Please read these Terms of Service carefully before using SunFile's website or filing services. By using our services, you agree to be bound by these terms.
Nature of Service
SunFile Compliance LLC ("SunFile," "we," or "us") provides document filing assistance services. We are a private company that prepares and submits Florida Annual Report filings, business reinstatements, and related paperwork to the Florida Division of Corporations on behalf of our customers for a service fee. We also offer registered agent services and recurring annual filing subscriptions.
SunFile is not a law firm and does not provide legal advice. Our service fees include the applicable state filing fees; you pay one total to SunFile, and we handle the state fees on your behalf.
Services and Pricing
All SunFile pricing is flat and all-inclusive. State filing fees are included in every total; there are no separate state charges added at checkout or on your card statement.
Annual Report Rescue covers preparation and submission of a Florida annual report after the May 1 deadline. The price depends on your entity type, because Florida's own charges do. Florida assesses a $400 late fee on for-profit entities — including limited liability companies, for-profit corporations, and limited partnerships — that file an annual report after May 1. Florida does not assess that late fee on nonprofit corporations. Accordingly, Annual Report Rescue is $649 for entities the state charges the late fee to, and $249 for nonprofit corporations. Each price is a flat, all-inclusive total covering the applicable state filing fee, the state late fee where the state charges one, and SunFile's service. Your entity type is determined from your entity's record with the Florida Division of Corporations, and the total applicable to your organization is displayed for your review before any payment is authorized.
Business Reinstatement pricing is variable and calculated based on years dissolved and entity type. The total displayed at checkout includes the state reinstatement fee, all missed annual report fees, and SunFile's service fee. You pay one all-inclusive total.
Annual Filing Subscription is an auto-renewing annual subscription that covers SunFile's preparation and submission of your Florida annual report each year, including the state filing fee applicable to your entity type. Billed once per year at $249. Cancel anytime before renewal.
Registered Agent Service is an auto-renewing annual subscription that designates SunFile as your Florida registered agent, receives official state correspondence on your behalf, and forwards it to you. Billed once per year at $99. Cancel anytime before renewal.
All payments are processed securely via Stripe. Fees are charged at the time of order.
Refunds
Once a filing has been submitted to the Florida Division of Corporations, it cannot be changed, removed, or canceled per state policy, and the state's filing fees cannot be recovered. Our refund policy is:
If your filing was already on file with the state — for example, you or another service filed your annual report before we processed your order — we refund everything you paid, no questions asked. Nothing was submitted on your behalf, so no state fees were spent.
If we determine your filing cannot proceed before we submit it — for example, your business name was claimed by another business while your entity was dissolved — we refund everything you paid. Nothing was submitted on your behalf, so no state fees were spent.
If we make an error — a mistake in how we prepared or submitted your filing — we correct it and re-file at no additional cost to you, and we pay any additional state fees ourselves. If the error cannot be corrected, we refund everything you paid.
Otherwise, once your filing has been submitted to the state, we cannot offer a refund. The state's fees have been paid on your behalf and are not returned to us.
If you subscribe to the Annual Filing Subscription or Registered Agent Service and cancel before the next annual renewal, you are not billed for the following year. We do not offer prorated refunds of the current year's fee once billed.

Accuracy of Information
You are solely responsible for the accuracy of all information you provide to SunFile. By submitting your filing, you confirm that all information provided is accurate and complete. SunFile is not responsible for errors resulting from inaccurate information provided by the customer.
Pursuant to Florida Statute §817.155, it is a third-degree felony to knowingly file a false document with the Division of Corporations.
Electronic Signatures
Pursuant to Florida Statute §15.16, electronic signatures have the same legal effect as original signatures. By typing your name or checking a confirmation box during our filing process, you are providing a legally binding electronic signature.
No Guarantee of Acceptance
While we take all reasonable steps to ensure accurate and timely submission, SunFile cannot guarantee acceptance of any filing by the Florida Division of Corporations. In the event of a rejection, we will notify you promptly and either work with you to resolve the issue or issue a refund per our refund policy above.
Registered Agent Service Terms
If you enroll in our Registered Agent Service, you authorize SunFile Compliance LLC to serve as your registered agent with the Florida Division of Corporations. Your registered agent designation with the state is updated as part of your subscription.
SunFile will receive official state and legal correspondence sent to your business at our Florida address and forward it to your designated contact email or mailing address. You are responsible for maintaining current contact information with SunFile.
If you cancel Registered Agent Service, you must designate a new registered agent with the state before your SunFile term expires; failure to do so may result in administrative dissolution.
Limitation of Liability
SunFile's liability to you for any claims arising from our services shall not exceed the amount you paid to SunFile for the service in question. We are not liable for any indirect, incidental, or consequential damages arising from your use of our services, including but not limited to late fees assessed by the state, administrative dissolution of your business entity, or loss of business.
Governing Law
These Terms of Service shall be governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Broward County, Florida.
Changes to Terms
We may update these Terms of Service from time to time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated terms.
