What a registered agent does.

A registered agent is a person or company designated to receive official mail on behalf of a Florida business. Every active LLC and corporation must have one — it's not optional.

The state's requirement
Florida law requires every business entity to designate a registered agent with a physical Florida street address (P.O. boxes are not permitted). The agent must be available during business hours to receive official correspondence, including state notices, tax documents, and service of process for lawsuits.
Why not use your own address?
You can serve as your own registered agent. But your address becomes part of the state's public record — searchable on sunbiz.org by anyone. Home addresses, in particular, become findable. If you're ever sued, a process server may show up at your home. And if you move, forget to update, or aren't available when official mail arrives, you may miss deadlines that lead to administrative dissolution.
Why not use a friend or family member?
You can, but the same problems apply — their address goes on public record, they need to be reliably available during business hours, and any lapse in their availability affects your business. Most owners eventually shift to a professional agent service to avoid the personal-address exposure and reliability issues.

Each January, we send you a reminder that your Florida annual report is due by May 1. If you'd rather not manage the filing yourself, our Annual Filing Subscription handles that for a separate $249 per year.

Does this include filing my annual report? +
No. Registered Agent Service covers acting as your registered agent — receiving mail and forwarding it to you. If you want SunFile to file your annual report every year on your behalf, that's our separate Annual Filing Subscription at $249 per year (state fees included). You can subscribe to both services if you want the full-service treatment, or just one, depending on what you need.
How quickly do I get forwarded mail? +
Same day for routine correspondence — we scan and email it within business hours. Service of process (legal papers) gets immediate notification, typically within an hour of receipt. If a document requires a physical original, we can also mail the hard copy to you upon request.
What if I already have a registered agent? +
Switching to SunFile as your registered agent requires filing an amendment with the Florida Division of Corporations. When you enroll, we handle that amendment as part of the setup — no separate paperwork on your end.
What if I cancel and don't designate a new agent? +
Failing to maintain a registered agent with the state can result in administrative dissolution of your business. If you cancel Registered Agent Service, you must designate a new registered agent before your term ends. We send reminders, but this is ultimately your responsibility.
Do you have registered agent services in other states? +
Not currently. SunFile is focused exclusively on Florida. Our registered agent address is in Pompano Beach, Florida, which means we can only serve Florida-registered entities.
Is my business information kept private? +
The registered agent designation itself is public record — anyone can see that SunFile is your registered agent. What we do keep private is your personal contact information (your home address, personal phone, and personal email). We only forward correspondence to the contact information you provide us, and we don't share that information with third parties. Our full privacy policy is available at sunfilefl.org/privacy.
